These Terms and Conditions govern your use of our website and any services purchased from Collaborada. By purchasing services, you agree to these terms.

Project details, including pricing, scheduled workdays, and agreed services, may be confirmed separately in writing. Those details, together with these Terms and Conditions, form the agreement between you and Collaborada.

These Terms and Conditions, along with any separately agreed written project details, constitute the entire agreement between you and Collaborada regarding the services purchased and supersede prior discussions or representations, unless otherwise agreed in writing.

Privacy Notice

Your use of our website and services is also subject to our Privacy Notice, which explains how we collect, use, and protect personal information.

Arbitration

Any legal controversy or claim arising from or relating to this Agreement and/or our Services, excluding legal action taken by us to collect or recover damages or obtain an injunction relating to website operations, intellectual property, and our Services, will be settled solely by binding arbitration in accordance with the applicable rules of the American Arbitration Association. Either party may bring an eligible claim in small claims court instead of arbitration. Any arbitration will be conducted on an individual basis and will not be consolidated with any claim or controversy of another party.

The arbitration will be conducted in Austin, Texas, subject to applicable arbitration rules, and judgment on the arbitration award may be entered into any court having jurisdiction. Either party may seek interim or preliminary relief from a court of competent jurisdiction to protect its rights or property pending arbitration. Arbitration fees and costs will be allocated in accordance with the applicable American Arbitration Association rules.

Choice of Law and Jurisdiction

This Agreement will be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law provisions.

For disputes not subject to arbitration, you agree to the jurisdiction and venue of the state and federal courts located in Austin, Texas, except where otherwise required by applicable law.

FOR MONTHLY WEBSITE SUPPORT SUBSCRIPTIONS, THE LIABILITY LIMIT WILL BE THE SUBSCRIPTION FEE PAID FOR THE BILLING PERIOD IN WHICH THE EVENT GIVING RISE TO THE CLAIM OCCURRED.

Client Content and Conduct

Clients are responsible for ensuring that any text, images, files, or other materials they provide to Collaborada comply with applicable laws and do not infringe the copyrights, trademarks, or other rights of third parties.

By providing materials for use in a project, clients represent that they own those materials or have the necessary permissions to use them and authorize Collaborada to reproduce, edit, modify, and publish them as necessary to perform the requested services.

Collaborada reserves the right to refuse, remove, or discontinue work involving content that is unlawful, infringes third-party rights, or is otherwise objectionable at our discretion.

You agree not to use our Website or Services to:

  • Violate any applicable laws or infringe the intellectual property, privacy, or other rights of third parties.

  • Submit or transmit unlawful, defamatory, threatening, abusive, or otherwise objectionable content.

  • Upload or transmit viruses, malicious code, or other materials intended to damage, disrupt, or compromise websites, software, systems, or data.

  • Access or attempt to access systems, accounts, or information without authorization.

  • Copy, reproduce, redistribute, or commercially exploit our Website content without permission, except as permitted by law.

  • Reverse engineer, decompile, or otherwise attempt to extract proprietary software or code without authorization.

Collaborada reserves the right to refuse services or restrict access to our Website or Services if these terms are violated.

Unlawful Activity

Collaborada reserves the right to investigate complaints or suspected violations of these Terms and Conditions and take appropriate action, including reporting suspected unlawful activity to law enforcement or regulatory authorities.

We may disclose relevant information when required by law or reasonably necessary to investigate suspected unlawful activity, protect our rights or property, or comply with legal obligations, subject to applicable privacy laws.

You may provide links to our Website provided that (a) you do not remove or obscure any portion of our Website by framing or otherwise, (b) your website does not engage in illegal or pornographic activities, and (c) you cease providing links to our Website immediately upon our request.

Links to Other Websites

Our Website may from time to time contain links to third-party websites. Inclusion of links for any website on our Website does not mean that we endorse, guarantee, warrant, or recommend the services, information, content, and/or data of such third-party websites. Collaborada has no control over the legal documents and privacy practices of third-party websites; you access any third-party websites at your own risk. We recommend that you review the privacy notice and terms and conditions of those websites to fully understand what information is collected and how it is used.

Payments

When purchasing services from Collaborada, you agree to provide accurate and complete payment information and authorize the applicable charges, including any recurring subscription payments and applicable taxes.

Payments may be processed through third-party payment providers. You agree to pay all amounts due for services purchased, including any outstanding balances resulting from failed or declined payments.

Projects may require full payment upfront or an initial payment followed by a remaining balance, as specified in the project confirmation. All payments are due according to the agreed payment schedule.

Collaborada reserves the right to suspend or decline services if payment is not received.

Website Projects

Website projects are scheduled for an agreed scope of work and timeframe, which may include website builds, redesigns, migrations, content updates, blog overhauls, SEO improvements, or other website-related services.

Project fees reserve Collaborada's time for the agreed work. Collaborada will use the scheduled time to perform the agreed services and make reasonable efforts to complete the project within that timeframe.

Revisions and support are limited to the agreed project timeframe unless otherwise specified in writing. Additional work, revisions, or support beyond the agreed scope or timeframe may require separate scheduling and payment.

Clients are responsible for providing the content, information, account access, feedback, and approvals necessary to complete the work. Clients agree to remain reasonably available during scheduled project days and designate a primary contact authorized to make project decisions.

Delays in providing required materials, access, or approvals may affect project progress and do not automatically extend the scheduled work period. Additional time may be scheduled separately at Collaborada's discretion and may incur additional fees.

Collaborada may adjust the project schedule when circumstances beyond its reasonable control prevent work from proceeding as planned.

Client Responsibilities and Third-Party Services

Clients agree to provide the access, information, materials, and approvals reasonably necessary for Collaborada to perform the requested services. This may include access to websites, domains, analytics, and other relevant accounts. Clients authorize Collaborada to make changes to those accounts as needed for the agreed work and to communicate with third-party providers when necessary.

Clients are responsible for ensuring their domain provider permits the DNS changes necessary to connect their website, including arranging a domain transfer when necessary.

Clients are responsible for maintaining their own subscriptions and accounts with Squarespace and other third-party providers, including payment of hosting, domain, email, software, integration, licensing, and other related fees, unless otherwise agreed in writing.

Collaborada does not provide or manage business email hosting. Clients are responsible for their email hosting services, including account management, configuration, and troubleshooting. Collaborada is not responsible for outages, delivery failures, lost messages, or other problems caused by third-party email providers.

Clients using Squarespace are responsible for reviewing and complying with Squarespace's Terms of Service and applicable policies. Collaborada is not responsible for the operation, policies, pricing, or changes of third-party platforms.

Client-requested changes or changes made by other parties may affect work previously completed by Collaborada. Additional work required to restore, correct, or reconstruct affected content may incur additional fees.

Third-Party Marketplaces

Collaborada also provides services through third-party marketplaces. Projects booked through these platforms are subject to the applicable marketplace's terms, payment procedures, cancellation policies, and dispute-resolution requirements.

Where those requirements conflict with these Terms and Conditions, the applicable marketplace requirements will govern to the extent of the conflict.

Confidentiality and Use of Materials

Reports, recommendations, training materials, consultation recordings, and other nonpublic materials provided by Collaborada are intended for the client's use and may not be reproduced, published, distributed, or shared with third parties without Collaborada's prior written consent, except as permitted by law. Consultations and meetings may not be recorded without Collaborada's consent. Clients may use these materials internally for their own business purposes.

Collaborada will use reasonable care to protect confidential client information.

Website Ownership and Transfer

Collaborada may withhold delivery or transfer of completed project deliverables until all project payments have been received. Upon full payment, Collaborada will deliver the agreed work and transfer any applicable website ownership or control to the client, subject to third-party platform and licensing restrictions.

Following transfer, the client is responsible for the website's ongoing operation, maintenance, and management unless separate support services are agreed upon.

Website Performance and SEO

Changes to website design, content, structure, URLs, domains, or hosting may affect search engine rankings, traffic, and website availability. Collaborada does not guarantee search engine rankings, traffic levels, indexing, or specific SEO results.

Search engines control their own indexing and ranking decisions, and results may change due to algorithm updates, competition, or other factors outside Collaborada's control. Search engines may decline to index, remove, or exclude a website or individual pages at their discretion.

SEO improvements may take time to produce results, and additional optimization work may be necessary to achieve a client's goals.

Domain transfers, DNS changes, and connections to third-party services may result in temporary website or email disruptions. Custom code and integrations may also be affected by future platform or software updates.

Website Support Subscriptions

Subscribers are responsible for requesting assistance, scheduling sessions, and providing the information and website access necessary to perform requested services.

Monthly subscription fees are charged regardless of whether services are requested or used. Unused support time, sessions, and other monthly benefits do not accumulate, roll over, or convert to credits or refunds.

Requests outside the plan’s scope may require separate approval and payment. Support requests are subject to scheduling availability. Subscribers are responsible for requesting services with sufficient time to allow for scheduling.

Subscriptions renew automatically until canceled. Subscribers may cancel at any time to prevent future renewal charges. Cancellation takes effect at the end of the current paid billing period and does not entitle subscribers to refunds for unused services during that period.

Collaborada reserves the right to discontinue website support subscriptions, including inactive accounts, at its discretion. Canceled subscriptions will not renew, and any future services will be subject to availability and current subscription pricing.

Refund and Cancellation Policy

Project payments reserve Collaborada's time for the agreed work. Once payment is received, Collaborada reserves the scheduled project dates and may decline other work during that period. For this reason, project payments are nonrefundable if a client cancels, postpones, or fails to provide the materials or cooperation necessary to proceed.

Payments for consultations, website updates, troubleshooting, and other services are nonrefundable once work has begun or services have been provided.

Collaborada reserves the right to decline, cancel, or discontinue a project or service at its discretion, including projects involving unlawful content, adult content, gambling, or work outside our professional expertise. If Collaborada discontinues a project, an appropriate full or partial refund may be issued based on the circumstances, work performed, and time reserved.

Collaborada may issue refunds or credits at its discretion without creating an obligation to do so in other cases.

Refunds for monthly website support subscriptions are addressed separately under Website Support Subscriptions.

In all other cases, services and digital products are non-refundable once rendered or delivered.

Portfolio Rights

Collaborada may reproduce, display, and link to completed projects, including website designs and screenshots, in its portfolio, website, and other materials showcasing its work. Confidential client information will not be disclosed without permission.

Termination of Services

Collaborada reserves the right to suspend or terminate access to our Website or Services if you violate these Terms and Conditions. Termination does not relieve you of any outstanding payment obligations.

Collaborada may also discontinue services at its discretion, subject to any applicable refund obligations outlined in our Refund and Cancellation Policy.

Indemnification

You agree to indemnify, defend, and hold harmless Collaborada and its owners, officers, employees, agents, contractors, and affiliates from any third-party claims, liabilities, losses, damages, and expenses, including reasonable attorney's fees, arising from your violation of these Terms and Conditions, misuse of our Website or Services, or content and materials you provide that infringe the rights of others or violate applicable law.

Severability and Survival

Should any part of this Agreement be held invalid or unenforceable, that portion will be construed consistent with applicable law and the remaining portions will remain in full force and effect.

Our failure to enforce any provision of this Agreement will not be deemed a waiver of such a provision, nor of the right to enforce such a provision.

Provisions that by their nature are intended to survive termination of this Agreement, including intellectual property rights, indemnification, warranty disclaimers, limitations of liability, arbitration, and governing law, will remain in effect.

Changes to Our Terms and Conditions

Collaborada reserves the right to update these Terms and Conditions at any time. Updated terms will be posted on our Website with a revised modification date.

Changes to these Terms and Conditions will apply to future purchases and services. Changes affecting ongoing subscriptions or projects already in progress will be handled in accordance with the terms applicable to those arrangements.

Your continued use of our Website or Services after the effective date of updated terms constitutes acceptance of those changes, where permitted by law. If you do not agree to the updated terms, you may discontinue using our Website or Services.
